Implementation of 2019's Foreign Investment Risk Review Modernization Act (FIRRMA) has dramatically expanded CFIUS's jurisdiction and has resulted in enhanced monitoring and enforcement activities directed at foreign investments in U.S. businesses. Potential national security concerns, which until recently were implicated in only a small number of transactions, are now an important consideration across a broad range of M&A and financing transactions in which foreign investors participate. Now more than ever, dealmakers need to be prepared to deal with potential CFIUS review and to address and mitigate potential national security concerns as part of the transaction process.

*Older versions of Internet Explorer (IE 10, 9, 8, etc) that lack support for the TLS 1.2 protocol and HTML5 cannot be used to play Vimeo videos. As of January 12, 2016, Microsoft has stopped releasing updates to older versions of IE.
