Henry Charles Eickelberg

Mr. Eickelberg is currently General Dynamics Corporation's Staff Vice President for Human Capital Processes. In this position, he is responsible for overseeing the negotiation and implementation of all the human resource aspects of General Dynamics' acquisition and divestiture activity. During Mr. Eickelberg's tenure at General Dynamics, he has been involved in over 40 acquisition and divestitures. Mr. Eickelberg also oversees the design and administration of General Dynamics' numerous defined benefit pension plans, 401(k) plans, and health and welfare programs for its 75,000 employees world-wide, as well as, General Dynamics' corporate payroll and shared services subsidiary and occupational health and work-safety programs.

Outside of General Dynamics, Mr. Eickelberg is a frequent lecturer and speaker on M&A related issues. He is an adjunct professor of law in the graduate LL.M. program at the Georgetown University Law Center where he teaches a class on avoiding and managing ERISA litigation. He also co-teaches another graduate level class at Georgetown on employee benefit matters in corporate acquisition and divestitures with Professor Nell Hennessy (former Deputy Executive Director and Chief Negotiator for Pension Benefit Guaranty Corporation). The M&A class provides students with a simulated due diligence and negotiations experience that involves a wide range of issues including the spin-off and combination of pension plans in corporate transactions, handling withdrawal liability, SFAS accounting issues, executive compensation and 280G issues, etc.

Mr. Eickelberg is a member of the Executive Committee of the American Benefits Counsel and also serves on the Board of Directors of the ERISA Industry Committee (ERIC). From January 2003 to January 2005, Mr. Eickelberg served as Chairman of American Benefits Council's Legal Affairs committee. Mr. Eickelberg has testified before both the United States Senate Finance Committee and the House Ways & Means Subcommittee on Select Revenue Measures regarding pension security and funding issues. Prior to joining General Dynamics, Mr. Eickelberg was an ERISA partner at Jenner & Block in Chicago, Illinois. Mr. Eickelberg also spent nine years as a consultant with William M. Mercer, Inc., a world-wide benefits consultancy.
